Fictor Alimentos (FICT3) has taken an important step towards consolidating its inorganic growth strategy by acquiring the production unit of Mellore Alimentos. The transaction raised R$ 30.4 million. The plant, which has been operating under federal inspection (SIF) since 2015, is authorized to process cattle and pigs, but currently dedicates 100% of its capacity to pork - a segment that Fictor sees as promising for exports.
The operation marks Fictor's first acquisition since its debut on B3 just over four months ago, via a reverse IPO. The proposal was approved this week by the judicial administrator responsible for Mellore's recovery, and still depends on the fulfillment of resolutive conditions set out in the process.
With a built-up area of 8,969 m² on a 5.4 hectare site, the unit located in Betim (MG) has the capacity to produce 1,691 tons per month of finished animal products. The acquisition was formalized in a closed proposal and ratified by Fictor's Board of Directors on April 29, 2025. "This move is in line with the company's strategic plan to seek complementary assets that bring a financial return above the cost of capital," says André Vasconcellos, the company's director of Strategy, Planning and Investor Relations.
The value of the transaction will be used to pay the company's obligations under judicial reorganization, including judicial and extrajudicial claims, trustee's fees and tax claims that have yet to be defined. Part of the amount has already been anticipated by a vehicle linked to one of Fictor's controlling shareholders.
As this is the purchase of an Isolated Production Unit (UPI), Fictor will not inherit Mellore's liabilities or debts, as provided for in Law 11.101/2005. The payment structure will be made possible through a private capital increase, with pre-emptive rights for current shareholders.
Fictor Alimentos was created with the aim of consolidating operations in the meat and animal protein sector, working especially on the acquisition of stressed assets with cash generation capacity. The company intends to continue exploring purchase opportunities in the market and expand its presence in export channels, taking advantage of the structure of the new plant it has acquired.
